Welcome to Viewors! These Terms and Conditions ("Terms") govern your access to and use of the Viewors platform and services. By accessing or using Viewors, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Viewors platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Service.

2. Description of Service

Viewors provides a workflow management and business operations platform designed to help small and medium-sized businesses (7-25 employees) centralize, standardize, and optimize their business processes. Our Service includes:

  • Workflow visualization and management tools

  • Team collaboration and communication features

  • Process documentation and templates

  • Time management and performance tracking

  • Real-time process mapping and optimization

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. By using Viewors, you represent and warrant that you meet these requirements.

4. Account Registration and Security

4.1 Account Creation: To access certain features, you must create an account by providing accurate, current, and complete information.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password

  • Notify us immediately of any unauthorized access or security breach

  • Not share your account credentials with others

4.3 Account Accuracy: You agree to keep your account information accurate and up-to-date at all times.

5. Subscription Plans and Pricing

5.1 Free Trial: We offer a 14-day free trial with no credit card required. During the trial period, you have full access to the platform features.

5.2 Paid Subscriptions: After the trial period, continued use requires a paid subscription. Our monthly plans range from €199 to €899 depending on your business needs and implementation level.

5.3 Billing: Subscription fees are billed monthly in advance. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5.4 Price Changes: We reserve the right to modify our pricing with 30 days' notice to existing subscribers. Continued use after the notice period constitutes acceptance of the new pricing.

6. Cancellation and Refunds

6.1 Cancellation: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

6.2 Refund Policy: We do not provide refunds for partial months of service. If you cancel during a billing period, you will retain access until the end of that period.

6.3 Trial Cancellation: You may cancel during the free trial period without any charges.

7. User Responsibilities and Acceptable Use

7.1 Permitted Use: You agree to use Viewors only for lawful business purposes and in accordance with these Terms.

7.2 Prohibited Activities: You agree NOT to:

  • Violate any applicable laws or regulations

  • Infringe on intellectual property rights of others

  • Upload malicious code, viruses, or harmful content

  • Attempt to gain unauthorized access to our systems

  • Interfere with or disrupt the Service

  • Use the Service to harass, abuse, or harm others

  • Resell or redistribute the Service without authorization

  • Reverse engineer or attempt to extract source code

  • Use automated systems to access the Service without permission

7.3 Content Standards: You are responsible for all content you upload, create, or share through the Service. Content must not be illegal, offensive, defamatory, or infringe on third-party rights.

8. Intellectual Property Rights

8.1 Viewors Property: The Service, including all software, designs, text, graphics, logos, and other content, is owned by Viewors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8.2 Your Content: You retain ownership of all content you create or upload to the Service ("User Content"). By using the Service, you grant Viewors a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely to provide and improve the Service.

8.3 Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by Viewors without obligation or compensation to you.

9. Data Privacy and Security

9.1 Data Collection: We collect and process your data in accordance with our Privacy Policy. By using the Service, you consent to such collection and processing.

9.2 Data Security: We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

9.3 Data Backup: While we perform regular backups, you are responsible for maintaining your own backup copies of critical data.

10. Service Availability and Modifications

10.1 Availability: We strive to provide reliable, uninterrupted service but do not guarantee that the Service will be available at all times. Maintenance, updates, or technical issues may cause temporary interruptions.

10.2 Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

10.3 Updates: We may release updates, new features, or improvements periodically. Your continued use constitutes acceptance of such changes.

11. Third-Party Services and Links

The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of service of any third parties. Your use of third-party services is at your own risk.

12. Limitation of Liability

12.1 Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIEWORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

12.3 Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to Viewors in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Viewors, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any rights of third parties

  • Your User Content

14. Termination

14.1 Termination by You: You may terminate your account at any time by canceling your subscription.

14.2 Termination by Us: We reserve the right to suspend or terminate your account immediately, without notice, if:

  • You violate these Terms

  • Your account is inactive for an extended period

  • We are required to do so by law

  • Continued provision of the Service is no longer commercially viable

14.3 Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account and User Content, though we may retain certain data as required by law or for legitimate business purposes.

15. Dispute Resolution and Governing Law

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles.

15.2 Dispute Resolution: Any disputes arising from these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of Denmark.

15.3 Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class-action lawsuits or class-wide arbitration.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Viewors regarding the Service.

16.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

16.3 Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment: You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

16.6 Notices: We may provide notices to you via email, in-app notifications, or by posting on our website. You agree that electronic communications satisfy any legal requirement for written notice.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
